PIMDCON Terms and Conditions

Effective Date: January 2025

Welcome to PIMDCon, hosted by Passive Income MD, LLC (“Passive Income M.D.”, “we”, “us”, or “our”). These Terms and Conditions (“Terms”) constitute a binding legal agreement between you (“attendee”, “user”, or “you”) and Passive Income M.D. regarding your purchase of tickets, participation in the Physician Real Estate and Entrepreneurship Conference (the “Conference”), and use of the website http://pimdcon.com (the “Website”).

1. Refund and Cancellation Policy

1.1 Refund Eligibility: Refunds for Conference tickets will be issued as follows:

• 100% refund if canceled before May 31, 2026.

1.2 Ticket Transfer Policy: Tickets are transferable under the following conditions:

• Transfer requests must be submitted in writing to Passive Income M.D. at least 14 days prior to the start of the Conference.
• A processing fee of $100 may apply for each ticket transfer.
• The transferee must meet any applicable eligibility requirements and agree to these Terms and Conditions.
• All transfer requests are subject to review and approval by Passive Income M.D. to ensure compliance with these Terms and any applicable laws or policies.
• The original purchaser remains liable for any disputes arising from the transfer.

1.3 Force Majeure: In the event of cancellation, postponement, or significant modification of the Conference due to circumstances beyond our reasonable control, including but not limited to acts of God, government restrictions, pandemics, natural disasters, or other emergencies, refunds will not be issued. Passive Income M.D. will endeavor to reschedule the event or provide an alternative format (e.g., virtual conference). Attendance at the rescheduled or alternative event shall serve as full satisfaction of the original ticket purchase, and no additional refunds will be issued. Passive Income M.D. shall not be liable for any additional expenses incurred by attendees, including but not limited to travel or accommodation costs.

1.4 Digital Products Purchase (Video Library):

• Lifetime access to the PIMDCON video libraries (covering the years 2022, 2023, and 2024) is sold as a digital product and is delivered electronically via email & portal.
• his product is for personal use only, and redistribution, sharing, or resale is strictly prohibited.
• All sales of digital products are final and non-refundable once access has been granted.
• Passive Income M.D. shall not be liable for technical issues arising from user error or incompatible devices. Technical support is available by contacting [email protected].

2. Code of Conduct

2.1 Attendees are expected to conduct themselves in a professional, respectful, and inclusive manner at all times during the Conference. Unacceptable behavior includes but is not limited to:

• Illegal activities or the promotion thereof.
• Harassment, discrimination, or abusive language.
• Disruption of Conference events, sessions, or activities.

2.2 Passive Income M.D. reserves the right to remove any attendee violating this Code of Conduct without issuing a refund.

3. Use of Photos and Videos

3.1 By attending the Conference, you consent to being photographed, filmed, or otherwise recorded by Passive Income M.D. or its affiliates. Passive Income M.D. may use your image, likeness, or voice in promotional materials, advertisements, and media without compensation.

3.2 Attendees are prohibited from recording Conference sessions without prior written consent from Passive Income M.D.

4. Website Use and Intellectual Property

4.1 The Website and its content, including but not limited to informational and educational materials, tools, applications, formatters, validators, encoders, decoders, converters, cryptography tools, and data generators (collectively, “Contents”), are provided by Passive Income M.D. for informational and personal use only. By accessing or using the Website, you agree to these Terms in their entirety. If you do not agree, you must immediately discontinue use of the Website.

4.2 Intellectual Property: All materials on the Website, including but not limited to text, graphics, logos, videos, and software, are the intellectual property of Passive Income M.D. and are protected under applicable copyright and intellectual property laws. Unauthorized use, reproduction, or distribution of these materials is strictly prohibited.

4.3 User Responsibilities: You agree not to:

• Use the Website or Contents for illegal or unauthorized purposes.
• Attempt to gain unauthorized access to the Website or its systems.
• Copy, modify, or distribute any part of the Website without prior written permission from Passive Income M.D.

4.4 Disclaimers: The Website and Contents are provided “AS IS” without any warranties, express or implied. Passive Income M.D. does not guarantee the accuracy, completeness, or availability of the Website or Contents.

5. Limitation of Liability

5.1 By attending the Conference or using the Website, you acknowledge and accept that your participation and usage are voluntary and at your own risk. Passive Income M.D. shall not be liable for any:

• Injuries, illnesses, or accidents occurring during travel to, from, or at the Conference venue.
• Loss, theft, or damage to personal property.
• Indirect, incidental, or consequential damages, including but not limited to loss of income, goodwill, or business opportunities.

5.2 Passive Income M.D. shall not be liable for the acts or omissions of third-party vendors or service providers, including but not limited to venue operators, catering staff, or transportation services.

5.3 Passive Income M.D. is not responsible for the actions, products, services, or representations of sponsors, exhibitors, or third parties participating in the Conference. Any interactions, transactions, or agreements made between attendees and sponsors or exhibitors are solely between the parties involved, and Passive Income M.D. disclaims all liability arising from such interactions.

5.4 Passive Income M.D.’s maximum liability shall not exceed the total amount paid by you for your ticket.

6. Indemnification

6.1 You agree to indemnify, defend, and hold harmless Passive Income M.D., its affiliates, officers, directors, employees, agents, and representatives from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorney’s fees) arising out of or in connection with your attendance at the Conference, use of the Website, or breach of these Terms.

7. Personal Information

7.1 Your submission of personal information through our Website is governed by our Privacy Policy (available at http://pimdcon.com/privacy-policy/).

7.2 By purchasing a ticket, you consent to receiving event-related communications via email or SMS. You may opt out at any time, though certain essential communications regarding the Conference may still be sent.

8. Payment Terms

8.1 All ticket sales are final after the refund deadlines stated in Section 1. Passive Income M.D. reserves the right to refuse service or cancel tickets if payment is not completed.

8.2 Taxes and processing fees may apply and are non-refundable.

9. Governing Law and Dispute Resolution

9.1 These Terms shall be governed by and construed in accordance with the laws of the State of California, excluding its conflict of law provisions.

9.2 Any dispute arising from or relating to these Terms shall be resolved through binding arbitration conducted by the Judicial Arbitration and Mediation Service, Inc. (“JAMS”) under its Comprehensive Arbitration Rules. The arbitration shall take place in California, in English, and the decision of the arbitrators shall be final and enforceable in any court of competent jurisdiction.

9.3 Each party shall bear its own costs and attorneys’ fees, except that the prevailing party in any arbitration may recover reasonable attorneys’ fees and costs.

10. General Provisions

10.1 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

10.2 Waivers: Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

10.3 Headings: Headings in these Terms are for reference purposes only and shall not affect the meaning or interpretation of any provision.

10.4 Entire Agreement: These Terms constitute the entire agreement between you and Passive Income M.D. concerning your participation in the Conference and use of the Website and supersede all prior agreements or understandings.

Thank you for choosing PASSIVE INCOME MD, LLC (“PIMD” or “we”). By clicking the “I
Agree” button hereinbelow, you accept the terms of this Disclaimer and Release in their

sole and exclusive owner of said Recordings.

By participating in any PIMD Events and/or making any Submissions, you acknowledge
and agree that you grant PIMD and its Related Parties the permission to use the
Recordings and Submissions, in whole or in part, in PIMD Contents and for the
advertising, marketing, publicity, and promotion of PIMD and for all other commercial
business purposes, including, without limitation, the rights to copy, distribute, transmit,
publicly display, publicly perform, reproduce, edit, translate, and reformat the
Submissions and Recordings, and to publish your name in connection with such
Submissions and Recordings.

No compensation will be paid to you by PIMD or its Related Parties with respect to the
use of any Submissions or Recordings. PIMD is under no obligation to post or use any
Submissions you may provide or any Recordings made of you and may remove any
Submissions or Recordings at any time at PIMD’s sole discretion.

You certify that your Submissions are accurate and truthful and reflect your personal and
honest experiences with PIMD, and that all Submissions are submitted by you of your
own free will.

By purchasing a ticket and attending the Conference, or by using the Website, you agree to these Terms and Conditions in their entirety.
